NAPAT FOUNDATION

APPLIES TO: ARTOEND DIGITAL MAGAZINE (E-BOOK, AND ONLINE READER)

These Terms and Conditions (“Terms”) govern your activities on ARTOEND, an interdisciplinary publication and platform by the NAPAT Foundation. By purchasing, accessing, viewing, or reading any issue of ARTOEND (“the Magazine”) or using our associated platforms, you acknowledge that you have read, understood, and agreed to be bound by these Terms in full.

If you do not agree to these Terms, you must not purchase, access, or use the Magazine or its related services. By accepting these Terms, you represent that you are at least the age of majority in your jurisdiction.

1. Purchase, Access & Account Responsibility

  • Licence to Access: Access to the Magazine is granted only upon completion of a valid purchase through our authorised payment channels. Each purchase grants you a single, personal, non-transferable, non-exclusive licence to access and read the purchased issue for personal, non-commercial use only.

  • Account Registration: When setting up your account, you must provide accurate and complete information, including a valid email address.

  • Security & Liability: Access credentials (login, access link, or license key) are strictly personal. You are responsible for the security and confidentiality of your password and account, and for any and all activities that occur under your account. You must inform us immediately upon learning of any unauthorised use of your account.

  • Termination of Access: If you provide information that is untrue or inaccurate, or if we suspect misuse, we reserve the right to suspend or terminate your account and refuse current or future use of the platform. We may limit the number of devices, sessions, or concurrent logins permitted per purchase.

2. Copyright, Intellectual Property & Our Rights

  • Ownership: All content within the Magazine—including text, essays, interviews, artwork, photographs, illustrations, graphics, layout, design, databases, code, and typography—is protected by copyright and remains the exclusive property of the NAPAT Foundation and/or its respective contributors.

  • Contributor Rights: Contributor works remain the intellectual property of their respective authors and artists, licensed to the Publisher for inclusion in the Magazine.

  • Brand Features: The “ARTOEND” name, branding, logos, and associated marks are the exclusive property of the NAPAT Foundation. Nothing in these Terms grants you the right to use our distinctive brand features.

  • No Transfer of Ownership: Purchasing access grants a licence to view the content; it does not transfer ownership or any intellectual property rights to the User.

3. Prohibited Conduct

While accessing or using ARTOEND, you shall not, under any circumstances:

  • Copy, reproduce, screenshot, record, scan, photograph, or otherwise duplicate any part of the Magazine.

  • Download, save, or extract content except where an official download function is expressly provided.

  • Share, distribute, upload, post, or republish the Magazine on any platform, website, file-sharing service, social network, or messaging service.

  • Resell, sublicense, rent, lend, or commercially exploit the Magazine or your access credentials.

  • Remove, alter, obscure, or circumvent any copyright notice, watermark, digital rights management (DRM), or access-control measure.

  • Use any automated system (bots, scrapers, crawlers) to access, copy, or harvest content, or probe, scan, or test the vulnerability of our systems.

  • Translate, adapt, reverse engineer, or create derivative works based on the Magazine’s content.

4. Digital Security Measures & Enforcement

  • Tracking & DRM: The Magazine may employ watermarking, user-identifying tags, DRM, and access tracking to protect content. Each digital copy may be uniquely tagged to the purchasing User, meaning any leaked or shared copy can be traced directly to the source account.

  • Immediate Termination: Any violation of these Terms will result in the immediate suspension or permanent termination of your access without a refund.

  • Legal Action & Penalties: Unauthorised reproduction or distribution may result in you being held liable for damages, including the full commercial value of all copies distributed, lost revenue, and legal costs. The Publisher reserves the right to pursue all available legal remedies, including injunctions and criminal referral, without issuing prior warnings.

5. User Submissions & Open Platform Rules

  • Content Rules: If you submit pitches, articles, or post on our community spaces, you are responsible for keeping your content in line with applicable local and international laws. You may not post defamatory material, violate intellectual property rights, or engage in illegal activities.

  • Licence to Submissions: By submitting content to public forums on our platform, you grant us a worldwide, perpetual, irrevocable, non-exclusive, royalty-free licence to use, reproduce, adapt, publish, and distribute your content in any media.
    Note: Commissioned editorial pieces for the Magazine are handled under separate contributor agreements.

  • Third-Party Links: ARTOEND may contain links to external sites. We do not endorse and are not responsible for the content, privacy policies, or practices of any third-party websites.

6. Copyright Infringement

If you believe that your copyrighted work has been infringed upon on our platform, please notify us in writing with the following information:

  • Identification of the copyrighted work claimed to have been infringed.

  • A description of where the material is located (e.g., a specific URL or issue page).

  • Your contact information (address, phone number, email).

  • A statement of good faith belief that the use is unauthorised.

  • A statement, under penalty of perjury, that the information provided is accurate and you are the copyright owner or authorised to act on their behalf.

7. Refunds

  • Due to the digital nature of the publication, all sales are final and non-refundable once access has been granted, except where explicitly required by applicable consumer protection laws.

  • No refunds will be issued where access is terminated due to a breach of these Terms.

8. Disclaimers, Limitation of Liability & Indemnity

  • "As Is" Service: The Magazine and platform are provided on an “AS IS” and “AS AVAILABLE” basis. The NAPAT Foundation disclaims all warranties, express or implied, including fitness for a particular purpose and non-infringement. We do not guarantee that access will be uninterrupted, secure, or error-free.

  • Limitation of Liability: To the fullest extent permitted by law, the Publisher shall not be liable for any indirect, incidental, special, punitive, or consequential damages (including loss of data, revenue, or profit) arising from your use of or inability to access the Magazine, even if advised of the possibility of such damages.

  • Indemnity: You agree to indemnify, defend, and hold harmless ARTOEND, the NAPAT Foundation, and its affiliates from any claims, losses, damages, or expenses (including reasonable legal fees) arising from your violation of these Terms or your infringement of any third-party rights.

  • Severability: If any provision of these Terms is found invalid or unenforceable, it will not affect the validity of the remaining provisions, which will remain in full force and effect.

9. Dispute Resolution & Binding Arbitration

  • Informal Resolution: We prefer to resolve issues directly. You agree to notify us in writing of any dispute and attempt a good-faith informal negotiation for at least sixty (60) days prior to initiating formal proceedings.

  • Binding Arbitration: If informal resolution fails, any claims, disputes, or controversies arising out of your use of ARTOEND shall be resolved exclusively through legally binding, individual arbitration. You expressly waive your right to a jury trial and your right to participate in a class action lawsuit or class-wide arbitration.

  • Exceptions: Claims related to intellectual property violations (such as piracy of the Magazine) or claims seeking exclusively injunctive relief may be brought in a court of competent jurisdiction.

10. Updates & Contact Information

  • Updates to Terms: We reserve the right to modify these Terms at any time. Any changes will become effective immediately upon being posted to our platform. Your continued use of the Magazine constitutes acceptance of the revised Terms.
